📜 MASTER TERMS OF SERVICE & SOFTWARE LICENSING AGREEMENT

Welcome to the MEEZANOX Smart School ERP ecosystem. This Master Terms of Service ("Agreement") constitutes a legally binding contract between MEEZANOX Enterprises ("Company," "We," or "Us"), the educational institution ("Client" or "School"), our Authorized Channel Partners ("Partners"), and the end-users operating the Admin, Teacher, Parent/Student, or Driver panels ("Users").
By deploying, accessing, or interacting with our Software as a Service (SaaS) platform, you agree to be bound by the terms detailed below.
1. PLATFORM ARCHITECTURE & ACCESS
MEEZANOX provides a dynamic, role-based cloud ERP comprising four integrated panels:
Admin Dashboard: The central command interface for institutional oversight, financial management, and grievance redressal.
Teacher Dashboard: The academic management interface for routine scheduling, attendance, and performance tracking.
Student/Parent Dashboard: The end-user portal for real-time academic tracking, digital fee ledger access, and communication.
Driver Dashboard (Fleet Panel): The specialized transport module featuring Live GPS tracking and Emergency SOS protocols.
2. SAAS SUBSCRIPTION, RENTALS, & "KILL SWITCH" PROTOCOL
B2B Licensing: MEEZANOX operates strictly on a Software-as-a-Service (SaaS) rental model. The Software is licensed, never sold, to the Client on an agreed subscription cycle.
Service Suspension (The Kill Switch): Continued access to the MEEZANOX ERP is strictly contingent upon timely subscription payments. In the event of payment default or breach of contract, MEEZANOX reserves the unilateral right to activate the systemic "Kill Switch," instantly suspending access to all panels (Admin, Teacher, Parent, Driver) without prior notice or liability for data interruption.
3. AUTHORIZED CHANNEL PARTNER (AFFILIATE) PROGRAM
To facilitate institutional onboarding, MEEZANOX operates an Authorized Channel Partner program (formerly referred to as the broker/affiliate system).
Commission Structure: Partners are entitled to a pre-defined commission for every verified School successfully onboarded and retained on a paid subscription.
Payout Contingency: Commissions are exclusively disbursed only after the School has cleared its subscription dues to MEEZANOX Enterprises.
Ethical Representation: Partners act as independent contractors, not legal employees. Misrepresentation of MEEZANOX features, unauthorized promises, or unethical sales practices will result in immediate termination of the Partner contract and forfeiture of pending commissions.
4. FINANCIAL ENGINE & PROPRIETARY SECURITY
Khata System & VIP UPI Chooser: The App utilizes a sophisticated integrated ledger (The Khata System) and a VIP UPI Chooser restricting payments to verified platforms (GPay, PhonePe, Paytm, BHIM) to ensure maximum transactional security.
Eagle Sensor 5.0 (Fraud Prevention): MEEZANOX employs proprietary algorithmic verification (Eagle Sensor 5.0) to detect and flag fraudulent payment receipts (Fake UTRs).
Financial Liability Disclaimer: While MEEZANOX provides the technological infrastructure for fee processing, all funds move directly between the Parent and the School's bank account. MEEZANOX does not hold, escrow, or intercept funds and holds absolute zero liability for banking failures, disputed UTRs, or incorrect data entry by the School Admin.
5. GPS LIVE TRACKING & SOS PROTOCOLS
Third-Party Dependencies: The Driver Dashboard’s Live Bus Tracking and SOS Alert mechanisms are heavily reliant on third-party variables, including the driver's device hardware, mobile network coverage, and Google Maps API uptime.
No Guarantee of Precision: MEEZANOX shall not be held legally liable for delayed coordinates, offline vehicles, or unreceived SOS alerts caused by network degradation, driver negligence, or device failure. The tracking system is a supplementary tool and should not be solely relied upon for absolute physical security.
6. DATA PROCESSING & AUTOMATED REPORTING (PDF ENGINE)
Data Ownership: The School retains full ownership of all student, staff, and financial data inputted into the system. MEEZANOX processes this data solely to render the ERP services.
Reporting Accuracy: Our integrated PDF Engine generates automated IDs, mark sheets, and financial reports based strictly on the raw data fed by the School's staff. MEEZANOX is entirely indemnified against any errors, misspellings, or discrepancies present in the final generated documents.
7. INTERNAL GRIEVANCES & COMPLAINTS
The MEEZANOX ERP provides a built-in Grievance Redressal system allowing Teachers, Students, and Drivers to lodge complaints directly to the School Admin. MEEZANOX Enterprises acts only as the digital conduit for these communications and takes no part in mediating, resolving, or arbitrating internal institutional disputes.
8. INTELLECTUAL PROPERTY RIGHTS
The entirety of the MEEZANOX ERP—including its source code, UI/UX design, database schemas, PDF Engine, Eagle Sensor 5.0 logic, and Khata algorithms—is the exclusive intellectual property of MEEZANOX Enterprises. Any attempt to reverse-engineer, clone, decompile, or commercially exploit this software architecture will result in immediate legal prosecution.
9. LIMITATION OF LIABILITY
To the maximum extent permitted by Indian Law, the MEEZANOX platform is provided strictly on an "AS IS" and "AS AVAILABLE" basis. MEEZANOX Enterprises shall not be liable for any indirect, incidental, punitive, or consequential damages (including loss of profits, data corruption, or institutional reputation) arising from the use, or inability to use, the application.
10. GOVERNING LAW & JURISDICTION
This Agreement shall be governed by and construed in accordance with the laws of India. Any legal disputes, claims, or controversies arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the competent courts located in the registered operational city of MEEZANOX Enterprises.
