MASTER TERMS OF SERVICE & SOFTWARE LICENSING AGREEMENT

Welcome to the MEEZANOX Cloud ERP ecosystem. This Master Terms of Service ("Agreement") constitutes a legally binding contract between MEEZANOX Enterprises ("Company," "We," or "Us"), the educational institution, school, coaching institute, or tuition center ("Client" or "Institution"), our Authorized Channel Partners ("Partners"), and the end-users operating the Admin, Teacher, Parent/Student, or Driver panels ("Users").
By deploying, accessing, or interacting with our Software as a Service (SaaS) platform, you agree to be bound by the enterprise-grade terms detailed below.
1. PLATFORM ARCHITECTURE & ACCESS
MEEZANOX provides a dynamic, role-based cloud ERP comprising integrated panels tailored for schools and coaching centers:
Admin Dashboard: The central command interface for institutional oversight, batch/class management, financial tracking, and grievance redressal.
Teacher Dashboard: The academic management interface for routine scheduling, batch attendance, homework/DPP assignment, and performance tracking.
Student/Parent Dashboard: The end-user portal for real-time academic tracking, online quiz/test engine, digital fee ledger access, and communication.
Driver Dashboard (Fleet Panel): The specialized transport module featuring Live GPS tracking and Emergency SOS protocols.
2. SAAS SUBSCRIPTION, RENTALS, & EARLY BIRD PRICING
B2B Licensing: MEEZANOX operates strictly on a Software-as-a-Service (SaaS) rental model. The Software is licensed, never sold, to the Client on an agreed subscription cycle (Monthly, Annual, or White-Label).
Early Bird Pricing & 24-Month Lock-in: The current promotional pricing of ₹5/student/month is an introductory "Early Bird Offer". By signing up today, your institution locks in this special promotional price for a guaranteed period of 24 months. After 24 months, Meezanox Enterprises reserves the right to revise the pricing structure based on evolving cloud server maintenance costs and the addition of new enterprise features. Institutions will be formally notified 60 days prior to any structural revision.
Service Suspension (The Kill Switch Protocol): Continued access to the MEEZANOX ERP is strictly contingent upon timely subscription payments. In the event of a payment default or contract breach, MEEZANOX provides a stipulated 3-day grace period. Failure to clear outstanding dues within this grace period gives MEEZANOX the unilateral legal right to activate the systemic "Kill Switch," instantly suspending access to all panels (Admin, Teacher, Parent, Driver) without further notice or liability for data interruption.
3. AUTHORIZED CHANNEL PARTNER (AFFILIATE) PROGRAM
To facilitate institutional onboarding, MEEZANOX operates an Authorized Channel Partner (ACP) program (including 2-Tier Master Partner networks).
Commission Structure: Partners are entitled to pre-defined commissions (upfront and multi-year renewals) for every verified Institution successfully onboarded and retained on a paid subscription.
Payout Contingency: Commissions are exclusively disbursed only after the Client has cleared its subscription dues to MEEZANOX Enterprises ("No-Collection-No-Pay Policy").
Ethical Representation: Partners act as independent B2B contractors, not legal employees. Misrepresentation of MEEZANOX features, unauthorized price alterations, collecting payments in personal bank accounts, or unethical sales practices will result in immediate termination of the Partner contract and forfeiture of all pending commissions.
4. FINANCIAL ENGINE & PROPRIETARY SECURITY
Khata System & VIP UPI Chooser: The App utilizes a sophisticated integrated ledger (The Khata System) and a VIP UPI Chooser restricting payments to verified platforms (GPay, PhonePe, Paytm, BHIM) to ensure maximum transactional security.
Eagle Sensor 5.0 (Fraud Prevention): MEEZANOX employs proprietary algorithmic verification (Eagle Sensor 5.0) to detect and flag fraudulent payment receipts and fake UTR numbers.
Financial Liability Disclaimer: While MEEZANOX provides the technological infrastructure for fee processing, all funds move directly between the Parent and the Institution's designated bank account. MEEZANOX does not hold, escrow, or intercept funds and holds absolute zero liability for banking gateway failures, disputed UTRs, or incorrect data entry by the Institution Admin.
5. GPS LIVE TRACKING & SOS PROTOCOLS
Third-Party Dependencies: The Driver Dashboard’s Live Bus Tracking and SOS Alert mechanisms are heavily reliant on third-party variables, including the driver's device hardware, mobile network coverage, satellite connectivity, and Google Maps API uptime.
No Guarantee of Absolute Precision: MEEZANOX shall not be held legally liable for delayed coordinates, offline vehicles, or unreceived SOS alerts caused by network degradation, driver negligence, or device hardware failure. The tracking system is a supplementary tool and must not be solely relied upon as a substitute for physical security personnel.
6. DATA PROCESSING, MINOR PRIVACY & AUTOMATED REPORTING (DPDP ACT 2023)
Data Fiduciary vs. Data Processor (DPDP Act 2023): Under the Digital Personal Data Protection (DPDP) Act, 2023, the Client/Institution acts strictly as the "Data Fiduciary" responsible for obtaining lawful parental/guardian consent for processing the data of minor students. MEEZANOX Enterprises acts exclusively as the "Data Processor," handling data strictly on the instructions of the Institution.
Data Ownership: The Institution retains full ownership of all student, staff, and financial data inputted into the system. MEEZANOX processes this data solely to render ERP services.
Reporting & Marksheet Accuracy: Our integrated PDF Engine generates automated IDs, marksheets, and financial ledgers based strictly on raw data inputted by the Institution's staff. MEEZANOX is entirely indemnified against any errors, misspellings, or grade discrepancies present in final generated documents.
7. INTERNAL GRIEVANCES & COMPLAINTS
The MEEZANOX ERP provides a built-in Grievance Redressal system allowing Teachers, Students, Parents, and Drivers to lodge complaints directly to the Institution Admin. MEEZANOX Enterprises acts only as the digital conduit for these communications and takes no part in mediating, resolving, or arbitrating internal institutional disputes.
8. INTELLECTUAL PROPERTY RIGHTS
The entirety of the MEEZANOX ERP—including its source code, UI/UX design, database schemas, PDF Engine, Eagle Sensor 5.0 logic, and Khata algorithms—is the exclusive intellectual property of MEEZANOX Enterprises (protected under Indian Copyright & IT Laws). Any attempt to reverse-engineer, clone, decompile, or commercially exploit this software architecture will result in immediate civil and criminal legal prosecution.
9. LIMITATION OF LIABILITY & CLOUD INFRASTRUCTURE DISCLAIMER
"AS IS" Provision: To the maximum extent permitted by Indian Law, the MEEZANOX platform is provided strictly on an "AS IS" and "AS AVAILABLE" basis.
Third-Party Cloud Outages: MEEZANOX Enterprises utilizes global cloud infrastructure (such as Google Firebase / AWS). MEEZANOX shall not be held liable for temporary service unavailability, latency, or data transmission delays resulting from third-party cloud server outages, telecom ISP network failures, or scheduled system maintenance windows.
Damage Cap: MEEZANOX Enterprises shall not be liable for any indirect, incidental, punitive, or consequential damages (including loss of profits, data corruption, or institutional reputation) arising from the use of, or inability to use, the application.
10. GOVERNING LAW & JURISDICTION
This Agreement shall be governed by and construed in accordance with the laws of India, including the Indian Contract Act, 1872, the Information Technology Act, 2000, and the Digital Personal Data Protection Act, 2023. Any legal disputes, claims, or controversies arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the competent courts located in the registered operational territory of MEEZANOX Enterprises in Bihar, India.
